DPPLogic legal
Terms of Service
These terms are the agreement between your business and DPPLogic for using the DPPLogic service. In short: DPPLogic is preparation software for business use; you stay responsible for your product data and regulatory decisions; paid plans are billed in the selected GBP, EUR or USD currency through Stripe and renew until cancelled; cancellation takes effect at the end of the paid period; and you own your content.
1. About these terms
These Terms of Service (the “Terms”) apply to the DPPLogic service at https://pilot.dpplogic.com (the “Service”). They are an agreement between DPPLogic and the business or organisation that uses the Service (the “Customer” or “you”).
If you accept these Terms for an organisation, you confirm that you are authorised to do so. The people you give access to (“authorised users”) must use the Service in line with these Terms, and you are responsible for their use.
What DPPLogic provides (https://pilot.dpplogic.com/legal/service/) forms part of these Terms. The Privacy Notice (https://pilot.dpplogic.com/legal/privacy/) and Cookies notice (https://pilot.dpplogic.com/legal/cookies/) explain how personal data and browser storage are handled. A Data Processing Agreement (https://pilot.dpplogic.com/legal/dpa/) is available for review and signature on request; once signed by both parties, it forms part of these Terms.
2. Who we are
The Service is provided by Ryan Jarvis trading as DPPLogic (“DPPLogic”, “we”, “us”), an individual trading as DPPLogic.
Business correspondence address: Nanny Cay, Tortola, British Virgin Islands. Notices and support: support@dpplogic.com.
3. Business customers only
The Service is offered to businesses and organisations only, for business or professional purposes. By creating an account or subscribing, you confirm that you are using DPPLogic for business or professional purposes. If you are a consumer, do not purchase a paid plan.
The Service is not directed at children.
4. The service
DPPLogic provides software for preparing Digital Product Passport data: organisation workspaces, product records, readiness assessments against requirement packs, gaps, actions and follow-ups, supplier and manufacturer information tracking, evidence references with human review, passport dataset preparation, internal READY packages, JSON and CSV exports, change management and audit history. Professional and Business plans also include catalogue import, independent review, multi-product requests, supplier response import, secure supplier response links, bulk work and an audit trail export.
The features, plan limits and exclusions are set out in What DPPLogic provides (https://pilot.dpplogic.com/legal/service/). DPPLogic does not publish passports, provide QR codes or a resolver, store or scan documents, use runtime AI to process your product or evidence data, email suppliers, provide supplier accounts, a supplier portal or a customer API, or monitor regulations automatically.
We may change, suspend or discontinue features with reasonable notice where practicable.
5. Accounts and organisations
Sign-in is provided through our authentication provider, WorkOS. Each person needs their own account with a verified email address. Keep your email address accurate and current, and do not share sign-in details.
An account can create and join organisations. Each organisation always has at least one owner. Owners and admins manage members, roles and billing. New members join with a one-time invitation code that works only for the email address it was issued to and expires after 72 hours.
You are responsible for the authorised users you invite, the roles you give them, and removing access when it is no longer needed.
An organisation's last owner must transfer ownership before deleting their account.
You can delete your own account in account settings. This removes your email address, sessions and memberships; the organisation's shared records and audit history are kept for the organisation.
6. Your responsibilities
You are responsible for the accuracy and completeness of the product data, evidence references and other information you enter, and for checking it before you rely on it or share it.
You are responsible for your own regulatory decisions, including whether a law applies to a product, what a passport must contain, and whether and how a passport is published through another provider.
You must have a lawful basis and any permissions needed for the personal data you enter, including supplier and manufacturer contact details, and keep that data accurate and limited to what you need. Do not enter special category personal data (for example health information), data about criminal convictions, or data about children.
You are responsible for any message you send to suppliers or others, including messages based on DPPLogic templates.
If you use secure supplier response links, you are responsible for sharing each link only with the supplier contact it is meant for, for revoking it if it may have reached anyone else, and for reviewing every answer before relying on it. An answer submitted through a link is not verified by DPPLogic.
7. Preparation, not legal compliance
DPPLogic is a preparation and review tool. It does not give legal advice, certify compliance, guarantee that a passport or dataset is legally sufficient, verify supplier evidence or the content behind evidence links, or decide which laws apply to your products.
Requirement packs, assessments, gaps and READY packages are based on DPPLogic's preparation checklists and the information your team enters. The checklists may be incomplete. READY is an internal workflow status: it is not publication, certification, official approval or proof of compliance.
Do not state or imply that DPPLogic has certified, approved or legally validated a product, dataset or passport.
8. Plans, prices and billing
The Free plan costs nothing. Professional costs £149 per month or £1,490 per year. Business costs £399 per month or £3,990 per year. The features of each plan and the plan limits are set out in What DPPLogic provides: Professional and Business add team, bulk and governance tools to the features every plan includes, and Business has the same tools as Professional with higher limits.
Subscriptions are available in GBP, EUR and USD. Select your currency before checkout; your subscription renews in that currency. DPPLogic is not VAT registered and does not add VAT, so the price shown is the amount charged. If your card account uses a different currency from the subscription, your card issuer may apply its own exchange rate or fees. You are responsible for any tax that you are required to account for yourself.
Existing subscriptions keep their agreed currency and Stripe price. Selecting a different browsing currency does not change an existing subscription. Plan changes keep the subscription currency; contact support to discuss changing currency. Available invoices and payment methods can be managed through the billing portal.
Payments are processed by Stripe on Stripe's secure checkout pages. DPPLogic does not receive or store your full card details.
Each paid subscription covers one organisation. An owner or admin buys a plan for an organisation from the billing page. If you pay before signing in, the purchase must be applied to your organisation from the same browser within 24 hours of starting checkout. If that is not possible, contact support@dpplogic.com.
There is no free trial of paid plans and there are no usage-based overage charges. Promotion codes are not accepted.
Approved currency prices: Professional: GBP £149 per month or £1,490 per year; EUR €179 per month or €1,790 per year; USD US$199 per month or US$1,990 per year. Business: GBP £399 per month or £3,990 per year; EUR €479 per month or €4,790 per year; USD US$529 per month or US$5,290 per year.
9. Renewal and cancellation
Paid subscriptions renew automatically at the end of each monthly or annual period, and Stripe charges the payment method on file, until the subscription is cancelled.
An owner or admin can cancel from the billing page, or you can ask us at support@dpplogic.com. Cancellation takes effect at the end of the current paid period. The paid plan stays available until then, and no further renewal is charged.
When a paid plan ends, the organisation moves to the Free plan limits. Your data is not deleted automatically (see Data after cancellation below).
10. Failed payments
If a renewal payment fails, a 14-day grace period applies before the paid plan is suspended for non-payment. During the grace period, Stripe may retry the payment and your paid plan continues.
If payment has not been made by the end of the grace period, the organisation moves to the Free plan limits. Your data is not deleted.
11. Changing plans
An owner or admin can move a paid subscription between Professional and Business from the billing page, choosing monthly or annual billing for the new plan. For other changes, such as switching between monthly and annual billing on the same plan, contact support@dpplogic.com. Plan changes are made through Stripe.
Upgrades (Professional to Business) take effect once payment succeeds. Stripe immediately charges a prorated amount for the rest of the current billing period. If that payment fails, your current plan continues unchanged.
Downgrades (Business to Professional) take effect immediately. Stripe calculates a prorated credit for the unused part of the current period and applies it to later invoices for the subscription. The credit is not paid out as a refund.
If the organisation's usage is above the limits of the new plan, existing data stays available to read and export, but you cannot add more of the items that are over the limit until usage is within the limit or you move to a higher plan. Some records cannot currently be archived in the workspace; contact support@dpplogic.com if you need help reducing usage.
12. Refunds
Fees are non-refundable except where required by applicable law or expressly agreed otherwise by DPPLogic. Apart from the downgrade credit described above, no automatic refunds, pro-rata refunds or service credits are provided unless separately agreed.
Send refund requests to support@dpplogic.com.
13. Acceptable use
Use the Service only for lawful business work on product data, supplier information and evidence.
Do not enter unlawful, infringing or deceptive content, or content you have no right to process.
Do not try to bypass tenant isolation, role checks, plan limits, billing or security controls, or to access another organisation's data.
Do not create multiple organisations or accounts to get around plan limits.
Do not overload, probe or disrupt the Service, or access it by automated means other than the features we provide.
Do not share sign-in details, or pass an invitation code to anyone other than the person it was created for.
Do not claim that DPPLogic certified, approved or legally validated a product.
14. Your content and our rights
You keep ownership of the data and content you enter into the Service (“Customer Content”).
You grant DPPLogic a non-exclusive licence to host, copy, process, display and transmit Customer Content only as needed to operate, secure and support the Service for you. This is not a transfer of ownership.
DPPLogic does not sell Customer Content, does not use it for advertising, and does not use it to train AI models.
Feedback you send may be used to improve the Service without obligation.
DPPLogic keeps all rights in the software, requirement packs, templates, branding and documentation. Exports and READY packages you create are your records; they are not a certification.
15. Personal data and confidentiality
DPPLogic handles personal data as described in the Privacy Notice (https://pilot.dpplogic.com/legal/privacy/). For personal data in Customer Content, such as supplier contacts and team member details, you are the controller and DPPLogic processes it on your behalf. A Data Processing Agreement for business customers is available for review and signature on request at support@dpplogic.com.
Each party must keep the other's non-public information confidential and use it only to perform these Terms, except for information that is public, independently developed, or required to be disclosed by law.
16. Availability and support
There is no guaranteed uptime or response time (service level agreement) unless one is agreed separately in writing. The Service may be interrupted for maintenance, security reasons or events outside our control.
Support is by email at support@dpplogic.com. The mailbox is monitored.
Keep your own copies of important data. Members of your organisation can export its current records at any time.
17. Warranties
The Service is provided with reasonable skill and care. Except as required by law, we do not warrant uninterrupted or error-free operation, or that outputs will meet a regulatory or customer-imposed requirement.
Reliance on regulatory outputs, passport sufficiency or supplier evidence remains outside the service warranty.
18. Suspension and termination
We may suspend access for non-payment after the 14-day grace period, for a breach of acceptable use, or for a security risk.
You can stop using the Service at any time: cancel any paid subscription and, if you wish, delete your account and ask us to delete your organisation.
We may end these Terms if you seriously or repeatedly breach them. If we decide to discontinue the Service, we will give reasonable notice where practicable so that you can export your data.
19. Data after cancellation
Cancelling a subscription does not delete your organisation's data. The organisation continues with the Free plan's features and limits, and members can read and export existing data.
Organisation deletion is not yet self-service. An organisation owner can request deletion by emailing support@dpplogic.com; requests are handled manually.
Retention is described in the Privacy Notice (https://pilot.dpplogic.com/legal/privacy/#retention).
20. Liability
Subject to the next paragraph, DPPLogic's aggregate contractual liability arising out of or in connection with the Service is limited to the fees paid or payable by the Customer to DPPLogic during the 12 months immediately preceding the event giving rise to the claim.
Where legally permitted, indirect and consequential losses are excluded. Nothing limits or excludes liability that applicable law does not permit to be limited or excluded, including fraud and death or personal injury caused by negligence.
These Terms do not include an indemnity from either party.
21. Changes to these terms
Each version of these Terms has a version identifier and date shown on this page.
Material changes will be posted on this page, with 30 days' notice where reasonably practicable. Minor, technical, legal-compliance, security or non-material corrections may be made without that full period. Core paid obligations are not altered retrospectively by a silent correction.
When you start a paid subscription, you accept the version of these Terms current at that time, and DPPLogic records the version you accepted.
If you do not agree to a change, you can cancel before it takes effect.
22. Governing law and courts
These Terms are governed by the laws of the British Virgin Islands (Virgin Islands). This is a contract-law choice. It does not determine tax, privacy, licensing or product-regulatory duties that may apply because of where a customer or data subject is located.
The courts of the British Virgin Islands have non-exclusive jurisdiction. A party may seek interim relief in another court of competent jurisdiction.
A separate written agreement signed by both parties prevails over these Terms where they conflict.
23. Notices and contact
Notices to DPPLogic: support@dpplogic.com. Business correspondence address: Nanny Cay, Tortola, British Virgin Islands.
Notices to you: the email address of the organisation's owner or of the account that manages billing.
